Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Edge Realm Inc., a Texas corporation ("Edge Realm", "we", "us"). They apply when you register for, sign in to, or otherwise use any Edge Realm service, including the Sovereignty CRM, the Partner Portal, the Investor Portal, the Sovereignty Score assessment, and any related API, application, or platform that links to these Terms (each a "Service").

If you do not agree to these Terms, do not use the Services.

1. Who can use the Services

To use the Services you must be at least eighteen years old and capable of entering into a binding contract. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, in which case "you" means that organization.

2. Your account

You are responsible for the accuracy of the information you provide when you register, for keeping your password confidential, and for all activity that happens under your account. Notify us at legal@edgerealm.ai immediately if you believe your account has been compromised.

We may suspend or terminate an account that has been inactive for twelve months, that submits false information, or that we have reasonable cause to believe has been misused.

3. Acceptable use

You agree not to:

• Access the Services in any way other than through the interfaces we provide
• Probe, scan, or test the vulnerability of the Services without our prior written permission
• Send bulk unsolicited communications through any Service
• Upload or transmit any virus, worm, or other malicious code
• Use any Service in violation of applicable law, including export control, sanctions, anti-bribery, or anti-money-laundering laws
• Use any Service to develop a product or service that competes with Edge Realm or any Edge Realm partner
• Reverse engineer or attempt to extract the source code of the Services except to the extent applicable law expressly prohibits such a restriction
• Submit or upload content you do not have the right to submit

4. Confidentiality

If you sign an electronic non-disclosure agreement through the Services, that agreement governs the confidentiality of information exchanged between you and Edge Realm. Where you have not signed a specific agreement, you agree to treat non-public information you receive through the Services as confidential, to use it only to evaluate or advance a potential business relationship with Edge Realm, and to protect it with at least the same care you use to protect your own confidential information.

5. Electronic signatures

When you electronically sign an agreement through the Services, you are agreeing under the federal ESIGN Act (15 U.S.C. ch. 96) and the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code ch. 322) that:

• The act of typing your name and clicking the "Sign and execute" button is your legally binding signature on the agreement displayed
• You consent to receive and retain that agreement and any related records in electronic form
• The audit metadata Edge Realm captures (signing timestamp, IP address, user agent, and SHA-256 cryptographic hash of the exact text you saw) is part of the executed agreement

You may request a paper copy of any agreement you have signed by emailing legal@edgerealm.ai.

6. Intellectual property

Edge Realm owns the Services, the underlying code, the brand, the ERVault product family, and all related intellectual property. The Services are licensed, not sold, to you. Nothing in these Terms grants you any right to use the Edge Realm name, logos, trademarks, or trade dress except as explicitly authorized in writing.

You retain ownership of the content you submit through the Services, including your contact information, organization details, and any deal, referral, or opportunity data you enter into a portal. You grant Edge Realm a worldwide, non-exclusive, royalty-free license to use that content for the limited purpose of operating, maintaining, and improving the Services and providing them to you.

7. Privacy

Our handling of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.

8. Fees

Most Services are available at no charge for prospects, partners, and investors. Paid services (the Sovereignty Blueprint engagement, ERVault deployments, multi-unit fleet deployments, and similar) are contracted separately under their own Statements of Work or master service agreements, which take precedence over these Terms for the matters they cover.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGE REALM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

White papers, presentations, the Sovereignty Score report, and other content available through the Services are informational only and are not a substitute for professional advice. You should consult qualified counsel, accountants, or other advisors before acting on any of it.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGE REALM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF EDGE REALM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EDGE REALM'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED ONE THOUSAND U.S. DOLLARS ($1,000) UNLESS A SEPARATELY EXECUTED PAID AGREEMENT BETWEEN YOU AND EDGE REALM PROVIDES A DIFFERENT CAP.

11. Indemnification

You agree to indemnify and hold Edge Realm and its officers, directors, employees, and affiliates harmless from any claim, demand, loss, or liability (including reasonable attorneys' fees) arising out of your use of the Services, your breach of these Terms, your violation of any law, or your violation of any rights of a third party.

12. Termination

You may stop using the Services and close your account at any time by emailing legal@edgerealm.ai. Edge Realm may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the security or integrity of the Services.

Sections 4 (Confidentiality), 5 (Electronic signatures), 6 (Intellectual property), 9 (Disclaimers), 10 (Limitation of liability), 11 (Indemnification), 13 (Governing law and venue), and 14 (General) survive termination.

13. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Fort Bend County, Texas, and you and Edge Realm consent to the personal jurisdiction of those courts. The prevailing party in any such proceeding is entitled to recover its reasonable attorneys' fees and costs.

14. General

These Terms, together with any agreement you sign electronically through the Services and any separately executed paid agreement, constitute the entire agreement between you and Edge Realm relating to the Services and supersede any prior or contemporaneous understandings. If any provision is held unenforceable, the rest of these Terms will remain in effect and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable. Edge Realm's failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a sale, merger, financing, or change of control.
